Legal Counsel (m/f)
About the role
We are looking for a seasoned lawyer to help us with an increased workload in the legal department. If you are searching for a new challenge and would like to change the world for the better, keep reading!
Key tasks and responsibilities
- Provide legal support for all contractual activities, from simple service and outsourcing agreements to complex agreements for the provision of services, framework agreements, license agreements, terms and conditions, quality assurance agreements, term sheets, investment agreements and other M&A-related documents.
- Providing prompt and practical legal advice to in-house support and project teams on commercial, project, status, regulatory, tax, employment, personal data protection law and other compliance matters.
- Draft, implement and oversee execution of internal bylaws, rules and procedures, including arms-length principles with subsidiaries.
- Assist the Cosylab tender office in tender applications, offers and contract negotiations.
- Manage relationships with outside counsel, including overseeing work product and cost-effectiveness.
- Support and train business team members as required and provide appropriate direction and support.
Required qualifications and skills
- B.Sc. in Law.
- At least 5 years of experience in general commercial transactions, preferably in the IT sector.
- Clear, concise, effective communicator.
- Demonstrated integrity, initiative, resilience.
- Intellectual curiosity.
- Willingness to take on new challenges.
- Exceptional proficiency in spoken and written English.
- Developed communication skills and an open mind for discussion and team collaboration.
Education
- B.Sc. in Law.
Bonus points if you have
- Working knowledge of IT or medical domain.
- Working knowledge of intellectual property matters, including familiarity with patents, trademarks, copyrights, and trade secrets, as well as experience with licensing agreements and other IP-related agreements.
- Experience in drafting and negotiating contracts for complex commercial projects.
- Knowledge or experience with quality management systems and standards (ISO, FDA).
